Code of Ethics

Ethical business practices are at the heart of Hudgins Contracting Corp.’s success. Hudgins’ mission is to be the best contractor in the Hampton Roads area. In order to ensure continued adherence to the highest ethical business practices, Hudgins’ employees are required to follow a Code of Business Conduct and Ethics. Hudgins’ Code of Business Conduct and Ethics is an in-depth Policy that encompasses the following principles:

Quality

Hudgins and its employees will be dedicated to providing quality work. Employees will receive appropriate training. We will ensure that services and products supplied by our subcontractors, consultants and suppliers doing business with Hudgins meet our high level of quality expectations.

Good Faith and Fair Dealing

The Company will always act in a manner consistent with the covenant of good faith and fair dealing in all of its business ventures. We will maintain our good reputation based on our experience and the services we provide and will compete fairly and respectfully with professional colleagues.

Standards of Practice

We will work in a manner consistent with established industry standards and will adhere to the applicable local, state and federal laws.

Workplace / Personal Conduct

Hudgins is committed to the principle that all individuals should be treated with respect. Employees are expected to treat their fellow colleagues, consultants, suppliers, subcontractors and customers with respect at all times. Likewise, Hudgins expects its employees to conduct themselves as good representatives of the Company whenever they are on the job and wherever they may be.

Conflicts of Interest

We will seek to avoid any and all conflicts of interest and will immediately acknowledge any influences and offer to withdraw from any assignment when any actual conflict exists which may impair our objectivity or integrity in the service of our clients.

Release of Information

Hudgins will release statements that are truthful and objective, and will keep information and records confidential when appropriate. We will protect the proprietary interests of our clients and professional colleagues.

Business Integrity

We will avoid actions which promote the appearance of impropriety. The Company has a policy which governs kickbacks, bribery, gratuities and gifts for the purpose of improperly obtaining or rewarding favorable treatment in connection with a prime contract, or in connection with a subcontract relating to a prime contract
